Terms of Service

These Terms of Service ("Terms") govern use of the Therasoft Dental website and the Therasoft Dental insurance-billing service (the "Service") by dental practices and their authorized users. By creating an account or using the Service, you agree to these Terms on behalf of your practice.

1. The Service

Therasoft Dental provides cloud software that supports a dental practice's insurance revenue cycle: eligibility and benefits verification, electronic claim submission (including attachments and predeterminations), remittance processing and payment posting, denial management, reporting, and related data import/export. The Service connects to the practice's Open Dental system through Open Dental's API using credentials the practice provides.

2. Your responsibilities

  • You are responsible for the accuracy of the clinical and demographic data in your practice management system and for the claims you authorize us to submit on your behalf.
  • You will maintain the confidentiality of user credentials and configure user roles appropriately for your staff.
  • You represent that you are authorized to connect your Open Dental system to the Service and to direct our processing of the associated patient information.
  • You will use the Service in compliance with applicable law, including HIPAA and payer program rules.

3. HIPAA and the Business Associate Agreement

Use of the Service with protected health information requires an executed Business Associate Agreement (BAA) between your practice and Therasoft Dental. Where these Terms and the BAA conflict with respect to protected health information, the BAA controls.

4. Fees and term

Fees are set out in your order form or early-access agreement. Early-access subscriptions are month-to-month unless otherwise agreed, billed per location, and may be canceled with notice effective at the end of the current billing period. We may change fees with at least 30 days' notice, effective at your next renewal.

5. Data ownership and return

Your practice owns its data. Open Dental remains your system of record for clinical records; the Service maintains the claim-lifecycle records it creates. Upon termination, we will provide a complete export of your data in standard formats and thereafter return or destroy protected health information as required by the BAA.

6. Acceptable use

You may not use the Service to submit claims you know to be false or fraudulent, attempt to access another practice's data, resell the Service, or interfere with its operation or security. We may suspend access to protect the Service or its users, and will notify you promptly if we do.

7. Third-party services

The Service depends on third parties we do not control, including Open Dental's API and our clearinghouse and attachment networks. We are not responsible for outages or changes in those services, though we will work in good faith to restore functionality and provide alternatives where practical.

8. Disclaimers

The Service supports — but does not replace — your billing judgment. Eligibility and benefits information is reported by payers and is not a guarantee of payment. Except as expressly stated, the Service is provided "as is" without warranties of any kind, whether express or implied, including fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our total liability under these Terms is limited to the fees you paid for the Service in the twelve months preceding the claim. This limitation does not apply to a party's obligations under the BAA to the extent the BAA states otherwise.

10. Termination

Either party may terminate for material breach that remains uncured 30 days after written notice. You may cancel an early-access subscription at any time effective at the end of the billing period. Sections concerning data return, confidentiality, disclaimers, and liability survive termination.

11. Changes to these Terms

We may update these Terms from time to time. We will notify practice administrators of material changes at least 30 days before they take effect; continued use after the effective date constitutes acceptance.
